Governance is fundamentally about how an organization makes decisions and remains accountable for those decisions. In a non-profit organization, governance provides the framework within which the organization is directed, overseen and held responsible for fulfilling its purpose. Since an NPO is established to serve a defined social, charitable or public purpose, the systems must ensure that its decisions, resources and actions are in alignment with the defined purpose and protects the interest of its stakeholders.
Effective governance brings clarity as to who makes decisions, what principles guide those decisions, and how decision-makers are held accountable. It establishes the relationship between the governing body and management, defines their respective roles and responsibilities, provides mechanisms for oversight, and enables the organization to balance its mission, resources, risks and responsibilities to different stakeholders. Good governance also enables an organization to respond to changing circumstances while protecting its purpose, values and institutional integrity.
FMSF brings extensive knowledge and experience in developing and strengthening governance practices within the sector. Its work in this area focuses on building a clear understanding of governance and translating this understanding into appropriate organizational structures, roles, systems and processes. This encompasses the constitution and governance structure of an organization, composition and functioning of governing bodies, board–management relationships, delegation of authority, leadership and succession, board development and evaluation, decision-making processes, policies and bylaws, legal and ethical responsibilities, conflicts of interest, accountability mechanisms and institutional oversight. FMSF also examines how governance needs to evolve as organizations grow, diversify their programs, manage larger resources and become more complex.
Over the years, FMSF has developed knowledge resources, learning programs, research and practical tools to deepen understanding of governance and enable organizations to establish and strengthen appropriate governance systems. Its work includes developing learning material and frameworks, conducting action research, publishing books, facilitating conversations, and providing platforms for continuous learning and knowledge sharing. Through this combination of knowledge generation, capacity building and practical application, FMSF contributes to strengthening governance as an integral part of institutional accountability, effectiveness and sustainability.
